Terms of Service

1. Acceptance of Terms

By downloading, installing, or using the PRIVM mobile application ("the App") operated by PRIVM LABS ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the App.

2. Description of Service

PRIVM is an inventory management application designed for merchants and store keepers to track stock levels, manage transactions, analyze business performance, and streamline inventory operations. Features may vary based on your subscription plan.

3. User Accounts

3.1 Registration

To use the App, you must create an account by providing accurate, current, and complete information. You may register as a Merchant (store owner) or Store Keeper (store manager).

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or use of your account.

3.3 Account Types

• Merchant: Can create and manage multiple stores, invite store keepers, and access all analytics.
• Store Keeper: Can manage inventory and transactions for assigned stores with permissions granted by the Merchant.

4. Subscriptions and Payments

Certain features of the App require a paid subscription. By subscribing, you agree to pay all applicable fees. Subscriptions are billed on a recurring basis through our payment processor (RevenueCat) and are subject to the following terms:

• Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period.
• You can manage or cancel your subscription through your device's app store settings.
• No refunds will be provided for partial subscription periods.
• We reserve the right to change subscription fees upon reasonable notice.

5. User Responsibilities

You agree not to:

• Use the App for any illegal or unauthorized purpose
• Interfere with or disrupt the App or its underlying infrastructure
• Attempt to gain unauthorized access to any part of the App or other users' accounts
• Upload malicious code, viruses, or harmful content
• Reverse engineer, decompile, or disassemble any part of the App
• Use the App to store or process data that violates any third-party rights

6. Data Ownership

You retain ownership of all business data you input into the App, including inventory records, transaction data, and store information. We claim no ownership over your business data.

By using the App, you grant us a limited license to host, store, and process your data solely for the purpose of providing and improving our services.

7. Intellectual Property

The App, including its design, code, trademarks, logos, and content (excluding your business data), is the property of PRIVM LABS and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our intellectual property without our express written consent.

8. Termination

We may suspend or terminate your account and access to the App at our sole discretion, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

You may terminate your account at any time by contacting us or using the account deletion feature within the App. Upon termination, your right to use the App will immediately cease.

9. Limitation of Liability

To the maximum extent permitted by applicable law, PRIVM LABS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption, arising out of or related to your use of the App.

Our total liability for any claim arising from these Terms or the App shall not exceed the amount you paid us for the App in the 12 months preceding the claim.

10. Disclaimer of Warranties

The App is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that the App will be uninterrupted, secure, or error-free, or that any defects will be corrected.

11. Indemnification

You agree to indemnify and hold harmless PRIVM LABS and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to your use of the App, your violation of these Terms, or your violation of any rights of a third party.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Nigeria.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on this page and updating the effective date. Your continued use of the App after any changes constitutes acceptance of the revised Terms.
